The strategic question is: how much of that value should continue to leave the dealership?

The Hidden Handoff in Retail Auto Finance

Automotive retailers have become highly sophisticated at monetizing the vehicle transaction. They source inventory, manage pricing, optimize lead conversion, sell protection products, build service retention, and measure every step of the customer journey.

Yet on many financed transactions, one of the longest-lived economic assets created at the dealership is still handed to someone else: the retail installment contract. That handoff is not inherently wrong. OEM captives, banks, credit unions, and independent finance companies remain essential partners when they produce the best outcome for the customer and the store.

The opportunity is more precise: create a controlled financing lane for transactions the existing lender network does not consistently optimize, especially used vehicles, off-make models, near-prime and non-prime credit, second-look opportunities, and declined applications. Viewed this way, a captive or dealer-controlled finance channel is not merely another lending option; it is a revenue-generating tool for retail conversion and enterprise economics.

What Is Dealer-Owned Finance?

Dealer-owned finance is a strategy in which an auto dealership or dealer group controls some, or all, aspects of a dedicated financing channel for selected vehicle transactions. The structure enables the dealership to add auto financing capabilities, retain participation in contract economics, maintain performance data, and preserve customer relationships.

Market Proof Points

Several of the industry’s most visible retailers have built, bought, or integrated automotive finance capabilities. Their structures differ, but the strategic logic is consistent: control more of the transaction, extend the customer relationship, and capture revenue that would otherwise leave the retail ecosystem.

Proof Point 1: AutoNation Bought the Capability

In 2022, AutoNation acquired CIG Financial for $83 million and repaid certain obligations totaling $21 million. AutoNation described the acquisition as a way to extend its customer relationship beyond the vehicle purchase and throughout the ownership life cycle.

CIG contributed more than a loan program. It brought origination, servicing, warehouse funding, and securitization infrastructure that AutoNation could fold into AutoNation Finance. The lesson for other dealers is not that they should replicate the acquisition; it is that a scaled retailer viewed having the finance capability as strategically important enough to buy rather than continue relying exclusively on third-party sources.

Proof Point 2: Carvana Integrated Finance into the Profit Stack

Carvana’s model makes the finance connection especially visible. In its 2025 annual report, Carvana identifies gains on sales of loans originated to finance vehicle purchases as one of its primary revenue sources and states that proceeds from selling automotive finance receivables account for a substantial portion of gross profit. In 2025, Carvana sold 596,641 retail units, generated $20.3 billion in revenue, and reported an 11.0% adjusted EBITDA margin.

Carvana is not proof that finance alone creates superior retail economics. Its advantage is an integrated system that spans inventory acquisition, merchandising, logistics, digital retail, financing, protection products, and wholesale. Finance, however, is a meaningful part of that flywheel: the retailer originates the asset, controls the customer experience, uses proprietary underwriting tools, and has repeatable channels to monetize the receivable.

Proof Point 3: CarMax Shows What a Mature Captive Can Become

CarMax provides a different reference point: the mature retained-finance model. For fiscal 2026, CarMax Auto Finance reported $562.7 million of income, originated approximately $8.0 billion of net auto loans, financed 42.4% of retail units, and held approximately $17.2 billion of auto loans outstanding.

These numbers also illustrate why building a captive auto finance company is not a casual undertaking. Credit losses, funding costs, servicing, compliance, accounting, capital requirements, and portfolio management all become real operating disciplines. The prize for a dealer-owned finance company can be substantial, but so can building the infrastructure.

The Strategic Case is Bigger Than Interest Spread

The weakest argument for a dealer-owned finance company is simply, “we should keep the interest.” The stronger argument begins with the retail operation.

Incremental vehicle sales. A controlled second look on deals submitted can provide a way for dealers to approve transactions that the current auto lending model declines or structures poorly. The first economic win may be retaining the vehicle gross and F&I that would traditionally disappear, not the loan yield.

Customer lifetime value. The auto finance relationship can extend the term of the contract by four, five or six years. When done responsibly, this multi-year relationship creates another connection to the car buyer between purchase events and another source of insight into when they may be ready to return.

Loss-adjusted finance economics. Dealerships now have an opportunity to retain participation in the ongoing revenue, gain-on-sale economics, or interest margin instead of limiting their deal economics to just the point-of-sale transaction.

Data ownership. Contract and finance performance data connects the front end of the deal to what happens after delivery. Over time, these insights can improve pricing, underwriting, inventory strategy, marketing, and customer segmentation.

Capital flexibility. An auto finance platform does not have to mean holding every auto loan. Originations can be leveraged and distributed through forward-flow arrangements, whole-loan sales, or securitizations, with retention selectively increased as performance proves out.

Strategic optionality. A functioning finance platform can become an enterprise asset, creating options around partnerships, capital markets, acquisitions, and long-term valuation.

Why Most Auto Dealer Groups Have Not Done a Captive

The traditional choice of whether to incorporate a dealer-owned finance company or not has been uncomfortable: either remain dependent on third-party auto lenders or spend years assembling a finance company. Setting up a true captive requires far more than a credit policy. It requires underwriting and pricing, compliance and licensing, servicing and collections, treasury and funding, portfolio analytics, fraud controls, reporting, accounting, capital-markets relationships, and the people to operate all of it.

This explains why the largest examples of auto retailers tend to be either long-built platforms such as CarMax Auto Finance or acquired capabilities such as CIG Financial. The hurdle has not been recognizing the value. The hurdle has been where to start and how to get started.

A Third path: Captive Capability Without a Captive Build

New infrastructure models providing captive financing capabilities make it possible to separate ownership of the strategy from ownership of every operating component. Today, a car dealership can establish a dedicated finance program, including a special-purpose vehicle, while using an external operating platform for underwriting, servicing, compliance support, analytics, and access to capital markets.

This turnkey captive financing model is what Agora Data has developed for non-prime automotive finance that enables the auto dealer or dealer group to control the customer-facing finance strategy and participate in the profit, while Agora provides the operating and capital infrastructure underneath it.

Agora Data completed the industry’s first asset-pooled non-prime auto securitization in 2020 and, in 2025, completed its first rated 144A asset-backed securitization, a $112 million transaction that enabled Agora to increase lending capacity to more than $1 billion annually.

Agora is also extending that capital-markets infrastructure into an entirely new frontier. In 2026, Agora and Figure Technology Solutions launched what the companies describe as the first blockchain-enabled platform bringing U.S. auto loans to modern capital markets as tokenized real-world assets (RWAs). Through the relationship, Agora-originated auto loans are ingested into Figure’s platform and tokenized on the Provenance Blockchain, creating a verifiable on-chain record while connecting those assets to Figure’s blockchain-native capital markets infrastructure, including warehouse liquidity, whole-loan sales, and securitization. In March 2026, Agora-originated auto loans became publicly available on Figure as investable, on-chain RWAs accessible to qualified market participants. For dealer groups considering a captive, the significance goes well beyond blockchain technology itself: it demonstrates how modern infrastructure can create new pathways between loans originated at the dealership and institutional and decentralized sources of capital. Rather than simply replicating yesterday’s captive-finance model, a dealer can potentially participate in a financing ecosystem being built for the next generation of private credit and capital markets.

The distinction matters. A dealer group does not necessarily need to acquire a finance company to gain finance-company capabilities. It can begin with a controlled lane, prove the economics, and decide over time how much capital and risk it wants to retain.

The Right Infrastructure is Additive, Not Destructive

A dealer-controlled finance capability should not begin by routing good prime approvals away from an OEM captive offering a subsidized APR, or by replacing a bank that already provides excellent structure and strong F&I economics. That would merely move profit from one pocket to another while adding risk.

Keep subsidized OEM captive programs where they create the best customer and dealership outcomes.

Keep best-bid prime bank and credit-union approvals.

Keep performing non-prime relationships where the economics and customer outcomes are competitive.

Add a dealer-controlled financing capability for used and off-make vehicles, thin-file customers, near-prime and non-prime applications, and especially second-look or declined transactions.

Route deals to the financing source based on their likelihood of helping close the sale while generating the strongest risk-adjusted long-term profitability. Focus on creating the greatest overall value for the contract and the dealership, rather than simply maximizing captive-finance volume.

Start With Evidence, Not Ambition

The most responsible way to evaluate a captive financing strategy is not to announce a billion-dollar lending target. It is to test whether the dealership’s own application flow contains measurable, financeable opportunities.

A practical first step to determining if a dealer-owned finance strategy is the right decision or not is shadow underwriting. Suggest running a second decision against declined, second look and selected used-vehicle applications without changing the customer outcome. This underwriting analysis can identify which transactions could have been approved, at what structure, at what expected loss, and with what projected contribution. After the initial analysis, the next step is to analyze a controlled cohort of applications and if applicable across selected stores or markets.

Success should be judged against a matched control group using metrics that matter to the dealership: incremental deliveries, approval-to-delivery conversion, cannibalization of existing auto lender volume, vehicle gross and F&I preserved, loss-adjusted contribution per funded auto loan, first-payment default, delinquency and loss performance, inventory turn, servicing outcomes and repeat-purchase behavior.

What Owners and the Board Should Ask Before Approving a Captive Strategy

Where in our current lender waterfall are we losing otherwise viable vehicle sales?

Which customer segments and vehicle types produce the clearest incremental opportunity?

Can we measure cannibalization separately from true incremental volume?

What level of credit risk and capital retention are we willing to own?

Do we want finance income now through distribution, later through retained spread, or a blend of both?

Who owns compliance, servicing, collections, treasury, model governance, and portfolio reporting?

What is the capital-markets path if annual originations scale from tens of millions to hundreds of millions or more?

How will a dealer-owned finance channel improve the retail business even before the auto loan portfolio reaches scale?

The Conclusion: the Auto Dealership Already Creates the Asset

Every financed vehicle sale creates two assets: the vehicle transaction and the credit relationship that makes the transaction possible. Most auto dealerships have become experts at maximizing the first transaction while outsourcing nearly all the credit relationships.

This arrangement may continue to make sense for a large portion of the lender waterfall. But for dealerships wanting to grow, the all-or-nothing framework is becoming increasingly obsolete. The strategic opportunity is to control the slice of credit where the retailer can create incremental sales, preserve customer economics, and build proprietary data without unnecessarily displacing dealer financing partners that already work.

AutoNation demonstrated that a retailer can buy the capability. CarMax demonstrated what a mature captive can become. Carvana demonstrated the power of integrating auto finance into a broader retail profit stack. The emerging question for the next generation of dealer groups is whether they can capture many of those advantages without spending years building the infrastructure from scratch.

The dealer does not have to build a dealer-owned finance channel overnight. The dealership does have to decide how much of the value it is willing to keep handing away.

“The dealer does not have to build a dealer-owned finance channel overnight.
